1. Who you are contracting with

This website and the services offered through it are operated by Codnov AI Private Limited, a private limited company incorporated in India on 27 July 2026 under Corporate Identity Number U62011KL2026PTC105056, registered with ROC Ernakulam, and having its registered office at TC 71/280 (1), 2nd Floor, Blue Tower, Chalai, Thiruvananthapuram, Kerala 695036, India. References to "Codnov", "we", "us" and "our" in these Terms mean that company.

By accessing or using this website or the client portal (together, "the Service") you agree to be bound by these Terms. If you do not agree, please do not use the Service.

These Terms govern your use of the Service only. Paid engineering work is governed by a separate signed agreement and statement of work, and where that agreement conflicts with these Terms, that agreement prevails.

2. Use of the Service

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service in any way that violates applicable laws or regulations, or to transmit any harmful, offensive, or disruptive content.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Intellectual Property

The Service itself — this website, the client portal, and their content, features and functionality — is and remains the property of Codnov AI Private Limited.

Work product created for a client is different, and the position we contract on is this: on payment of the relevant invoice, all right, title and interest in the deliverables created for you under a statement of work vests in you, together with a waiver of moral rights, and every engineer who touches your repository is under a written assignment of intellectual property to Codnov before they do so. Pre-existing Codnov tools, libraries and know-how that we bring to an engagement are not assigned; they are licensed to you perpetually, irrevocably and royalty-free for use with the deliverables, and any such component is listed in the statement of work rather than left to a definition. Nothing on this page replaces that signed agreement — it describes the terms we offer.

5. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

6. Limitation of Liability

To the fullest extent permitted by law, Codnov AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.

7. Termination

We reserve the right to terminate or suspend your account at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

8. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page. Continued use of the Service after changes constitutes acceptance of the new Terms.

9. Governing law and disputes

These Terms are governed by the laws of India, and the parties submit to the exclusive jurisdiction of the courts of Thiruvananthapuram, Kerala.

We recognise that this is not always workable for a client contracting from another jurisdiction. For paid engagements we will agree a different governing law and a neutral arbitration seat where your procurement requires it; raise it during scoping and it is a drafting question rather than a negotiation.
